KGaA (ISIN: DE000A2NB650) (\u201cMutares\u201d or the \u201cCompany\u201d) announces that the written procedures initiated on 18 March 2026\u00a0regarding its outstanding bonds with ISIN NO0012530965\u00a0and NO0013325407\u00a0(together, the \u201cBonds\u201d) have now been successfully completed.<\/p>\n<p style=\"font-weight: 400;\">Bondholders have approved the proposed waiver with regards to the leverage ratio covenant\u00a0as set out in the respective notices of written procedure.<\/p>\n<p style=\"font-weight: 400;\">Notices from Nordic Trustee regarding the results of the written procedures will be distributed to all bondholders via the CSD and published on the Company\u2019s investor website.<\/p>\n<p style=\"font-weight: 400;\">Bondholders who are registered holders on 15 April 2026\u00a0(the \u201cRecord Date\u201d), being two business days prior to the expected payment date, will receive a consent fee of 1.5%\u00a0of the nominal amount of their Bonds. Payment of the consent fee is expected to be made on 17 April 2026, in accordance with the terms of the written procedures and subject to the conditions specified therein.<\/p>\n<p style=\"font-weight: 400;\">Pareto Securities acted as advisor to the Company in connection with the written procedures.<\/p>\n<p style=\"font-weight: 400;\"><strong>\u00a0<\/strong><\/p>\n","protected":false},"excerpt":{"rendered":"<p>Munich, March 31, 2026 \u2013 Mutares SE &amp; Co.
